Winvia Builds a Prize Draw Powerhouse With Twin UK Buys

Winvia Entertainment has moved to tighten its grip on the UK’s crowded prize draw scene, agreeing to buy two more digital competition platforms within months of its last acquisition. The deal brings The Giveaway Guys and Win Life Competitions under the same roof as Winvia’s existing stable of sites, pushing the group further into territory that increasingly overlaps with the online casino audience it already serves through its gaming arm.

What’s been released

Winvia Entertainment, a UK-based prize draw operator, has agreed to acquire the trade and key assets of two prize-draw businesses, The Online Giveaway Guys (trading as The Giveaway Guys) and Win Life Competitions
.
The Giveaway Guys and Win Life are UK-based, digitally-led prize draw platforms offering daily and scheduled draws to a loyal and growing customer base, with The Giveaway Guys having built a strong brand presence since launching in 2020
.
Win Life, meanwhile, is a newer platform focused mainly on campervans, which the company describes as having a strong recurring revenue base
.

The transaction values the combined businesses at up to £19.1 million, based on an adjusted EBITDA multiple, including deferred and contingent payments
.
The headline terms include an immediate cash payment of £15.47 million at completion and deferred consideration of £3.63 million payable one year after completion
, with
a further earn-out payment contingent on adjusted EBITDA over the following year, calculated as 2.1x the achieved adjusted EBITDA less the deferred consideration
.
Winvia will acquire the brands and operating assets but will not assume liabilities, cash balances, or trade receivables
.
The transactions are expected to complete in October 2026
.

What’s changed

For UK players who follow the competitions and prize draw space alongside casino promotions, the move signals further consolidation of smaller operators into larger groups.
Winvia said The Giveaway Guys has demonstrated consistent engagement across its player community since its 2020 launch, while the recently launched Win Life brand provides a strong base of recurring revenue
.
Certain employees are expected to remain within the wider group after completion, which should support operational continuity and help retain knowledge of the brands and their customers
.

This isn’t Winvia’s first move of the kind this year.
The acquisitions follow the recent purchase of United Kingdom-based prize draw platform Rev Comps
, which completed in July 2026. The group’s half-year results show the strategy is being backed with real spending:
Winvia increased marketing and prize spend in Prize Draw Competitions to £14.0 million, from £2.6 million a year earlier
, even though that push left the segment briefly in the red. Chief executive Mihai Manoila framed the latest deal as part of a deliberate land-grab, with the group looking to build
a “leading position in the UK prize draw sector”
.

Where it fits

Winvia sits at an interesting crossing point for UK casino watchers because its portfolio already spans both worlds.
Winvia Entertainment is majority owned by Playtech founder Teddy Sagi and operates prize draw and competition websites such as BOTB.com in the UK, as well as iGaming sites such as Princess Casino in Romania
. That dual focus means the group’s prize draw expansion runs in parallel with its online gaming business, and the two segments appear to be feeding off each other financially:
adjusted EBITDA rose to £17.2 million in the half year, up from £16.0 million the year before, in line with management’s expectations despite increased investment in marketing, prizes, subscriptions and platform migration in the Prize Draw Competitions segment
.

With Rev Comps already folded in and The Giveaway Guys and Win Life due to complete by the end of October, Winvia is clearly betting that scale, rather than a single standout brand, is what wins in a fragmented UK competitions market. For players who move between prize draws and online slots, it’s a reminder that the groups behind the UK’s casino and competition brands are increasingly the same ones, even when the products on screen look very different.
